CORPORATE GOVERNANCE

Corporate governance refers to the regulations and structure that have been established to manage and lead the operations of a limited company in an efficient and controlled manner. Ultimately, corporate governance aims to meet shareholders 'demands for returns and all stakeholders' need for information about the company and its development. Lohilo Foods' corporate governance is based on the Swedish Companies Act, the Articles of Association, First North's regulations and internal rules and regulations.

Swedish code of corporate governance
The Swedish Code of Corporate Governance (the “Code”) shall be applied by companies whose shares are admitted to trading on a regulated market. Lohilo Foods is not formally covered by the Code and the company's Board of Directors has currently chosen not to apply the Code. However, we strive to follow the Code in the respects that are relevant to the company with regard to the operations conducted.

Annual General Meetings In accordance with the Swedish Companies Act, the shareholders' influence in the company is exercised at the Annual General Meeting, which is the company's highest decision-making body. At the Annual General Meeting, the shareholders decide on key issues, such as amendments to the Articles of Association, adoption of income statements and balance sheets, possible dividends and other dispositions of the company's profits, election of board members and auditors and decisions on remuneration to them and granting discharge to the Board .

Organization number

The company's organization number is 556740-7050. The company was registered in 2007. The company's form of association is regulated by the Swedish Companies Act.

 

Accounting principles

The annual reports have been prepared in accordance with the Annual Accounts Act and the Accounting Board's general advice.
